Ameriprise Financial Senior Counsel in Minneapolis, Minnesota

"Ameriprise Financial, Inc.'s General Counsel's Office is looking to hire an experienced attorney to provide solutions-oriented legal support to senior management and GCO colleagues for the firm's intellectual property portfolio, management of leading-edge technology, and licensing and technology contracts. This position will be an integral part of a GCO practice group that supports Technology, Intellectual Property, Global Contracts and Procurement, Employment, and Securities and Corporate Law.Key ResponsibilitiesThe candidate will have responsibility for:IP asset portfolio management/General IP matters/Contracting: trademark and copyright prosecutions and applications, registrations, and renewals, and cease and desist; drafting, negotiating, interpreting and advising clients on IP-related agreements, such as non-disclosure and license agreements; drafting freedom-to-operate, use clearance, and/or invalidity opinions; advising and counseling business teams on a global basis on various IP matters involving copyrights, patents, trademarks, and trade secrets.Patents:generally familiar with patent prosecution; experience managing external patent prosecution counsel; ability to evaluate invention disclosures from business personnel to determine which submissions are appropriate for patent application submission and prosecution; experience handling non-practicing entity ("NPE") allegations of patent infringement with and without outside counsel; familiar with leveraging defensive patent acquisition memberships to resolve NPE claims.Working closely with outside IP counsel and in-house paralegal.Artificial Intelligence/Machine Learning/Algorithmic Decision Making: general familiarity with applications and models exhibiting or leveraging artificial intelligence or machine learning; familiarity with key industry groups that actively engage on legislative and regulatory initiatives in these areas, particularly as they impact the financial services industry; and experience converting legislative and regulatory text into practical requirements for impacted business clients is a significant plus.Familiarity with open-source license rights and obligations, mitigating impact of open source on proprietary materials, and obligations and rights associated with contributions to open-source projects.Commercial Contracts: drafting, negotiating, interpreting and advising clients on software, licensing, and technology-related vendor agreements on a global basis.Partnering across the GCO with subject matter experts in other disciplines like privacy and regulatory affairs, corporate development and mergers and acquisitions, and other areas on intellectual property and technology agreement-related issues.Required QualificationsJuris Doctor (J.D.) and 5+ years of relevant experience; some in-house experience and financial services experience preferred. Admitted to practice law in the state of Minnesota, Massachusetts, New York, North Carolina or eligible for admission as in-house counsel.Member of Patent Bar/USPTO admission is a plus.Excellent interpersonal, critical thinking, negotiation, verbal and written communication, presentation skills, reasoning, ability to research, analytical skills,with ability to translate IP and technology-oriented topics and concepts for general consumption.Able to practically identify and rank legal risks arising from different business plans and approaches in intellectual property and technology matters in a solutions-oriented manner.Ability to influence, gain credibility and develop strong working relationships across GCO and with business partners.The selected individual will be self-reliant and possess an acute attention for detail.Must be capable of successfully completing multiple projects simultaneously and able to work and communicate clearly with business partners, including those in senior management positions and lawyers in a global team setting.A true team player who actively supports the GCO's value proposit on and culture of engagement.About Our CompanyWe're a diversified financial services leader with more than $1 trillion in assets under management and administration as of 2022.
