Stratacor Legal Counsel in Minneapolis, Minnesota

GENERAL SUMMARY The Legal Counsel position will provide legal support to the Insurance Division of Stratacor, which includes Delta Dental of Minnesota, DDMN ASO, LLC, Delta Dental of Nebraska, and Health Ventures Network. This position also is expected to provide legal support to one of more additional business entities within the Stratacor organization, as assigned. Legal Counsel's focus is on providing legal support services for dental and other ancillary insurance product lines, with a significant responsibility for data privacy laws and regulations. Responsibilities will also include monitoring insurance laws and researching the applicability of laws, regulations, and other requirements to assist in the Legal Department's efforts to ensure compliance with federal and state insurance laws and regulations. Legal counsel will be responsible for other corporate agreements, as well as providing legal guidance on contract matters across the organization. In addition, Legal Counsel will provide support to the organization's compliance program and be asked to support team members and the Associate General Counsel on other legal matters. ESSENTIAL FUNCTIONS Perform the legal processes related to complaints and other grievances submitted by group administrators, individual members, regulatory agencies, the Better Business Bureau, and others, including gathering information and evidence, conducting investigations, and assisting in analysis, evaluation and response preparation activities as directed by your manager. Assist in the monitoring of insurance laws and insurance department actions and prepare written and oral reports and summaries for the Legal Department and business function leaders. Research the applicability of laws, regulations and other requirements to assist in the Legal Department s efforts to ensure compliance with federal and state insurance laws and regulations and federal and state data privacy laws and regulations, including HIPAA. Lead the investigation, analysis, and assessment of reported data security (including HIPAA) incidents. Prepare and deliver data security (including HIPAA) incident notifications as directed by your manager. Understand concepts of dental and other product offering coverages, policy interpretation and claims adjudication to analyze and move complaints towards solutions. Contribute to the drafting, review, and revision of commercial contracts, third-party vendor agreements, service agreements, consulting agreements, and other corporate agreements and assist with contract lifecycle management. Provide guidance on contract matters to teams across the organization. Work with other members of the Legal Department on a variety of legal matters, such as data use, nondisclosure agreements, and business associate agreements, technology licensing, intellectual property, mergers and acquisitions, compliance, and dispute resolution as assigned by Associate General Counsel. Assist with training for Legal Department members and other team members within the organization, as requested by Associate General Counsel. REQUIRED KNOWLEDGE, SKILLS AND ABILITIES Self-starter with a sense of urgency, ability to multi-task and work in a fast- paced, time-sensitive customer-service orientated environment, ability to handle unanticipated situations effectively and work well under pressure with tight deadlines to ensure timely and appropriate response to issues raised. Excellent execution and organizational skills and exceptional attention to detail. Excellent judgment and the ability to maintain strict confidentiality of sensitive business information. Excellent interpersonal skills with an ability to effectively interact with team members at all levels of an organization. Excellent written and verbal communication skills to articulate complex business and legal situations clearly and accurately. Strong working knowledge of Microsoft Office products (Word, Excel, PowerPoint, Outlook) and legal regulatory resear h tools (such as Westlaw and/or Practical Law). Ability to identify and use the most efficient and effective legal resources to complete the work in a timely and cost-effective manner. Unquestioned personal integrity; understanding of all applicable ethical duties and requirements; serve as a role model of the values of the organization and practices required by law. Preferred: Knowledge and experience in insurance and healthcare-related legal matters, including health insurance, ancillary insurance, employee benefits administration, healthcare regulatory matters, data privacy, and healthcare compliance, with a preference for prior experience or knowledge in the following jurisdictions: Minnesota, North Dakota, and Nebraska. Preferred: Knowledge and experience advising on state and federal laws and regulations related to healthcare and consumer data privacy, including HIPAA.
